Dieses neu geschaffene VbVG sollte ein umfassendes Verbandssanktionensystem einführen und beweckte dadurch die Verhinderung bzw. die Reduzierung von Verbandskriminalität.
Auf internationaler Ebene forderten auch zahlreiche internationale Verpflichtungen, Rechtsakte der european, aber auch völkerrechtliche Übereinkommen (Europarat und OECD) die Einführung einer wirksamen, abschreckenden und angemessenen Sanktionierung juristischer Personen für bestimmte Straftaten, d.h. die Einführung einer deliktischen Verantwortlichkeit juristischer Personen. Dabei ist auf EU-Ebene vor allem das „Zweite Protokoll zum Übereinkommen über den Schutz der finanziellen Interessen der Gemeinschaften“ nennenswert.
Die Verbandsverantwortlichkeit weicht deutlich vom traditionellen Strafrecht ab, da es sich dabei nicht um Strafrecht im eigentlichen Wortsinn, sondern um einen selbständigen Zweig im differenzierten Kriminalrecht handelt.
Da die Sanktionsadressaten hier juristische Personen und andere rechtsfähige Verbände sind und nicht natürliche Personen, werden die Unterschiede zwischen Verbänden und dem menschlichen Individuum schlagend, aufgrund derer nicht dieselben Mittel des Strafrechts Anwendung finden können. Z.B. kann nur ein Mensch iSd individuell-sittlichen Schuldbegriffs „schuldig“ werden. Weiters ist die Strafe für Verbände nicht mehr „sinnbildliches Übel“. Deshalb wird auch in diesem Gesetz das Wort „Strafe“ ausgeblendet und dafür der Begriff „Verbandsgeldbuße“ verwendet.
Anhand dieser sorgfältigen Auswahl der Terminologie wird auch das strafrechtliche Schuldprinzip nicht berührt, da der Verband nur „für eine Straftat verantwortlich“ ist. Es ist hier jedoch anzumerken, dass die strafrechtliche Sanktionierung des Verbandes wegen einer Straftat in einem Strafverfahren und selbst die Eintragung der Verbandsgeldbußen in einem Strafregister vorgesehen sind.
Die Verfolgung liegt im Ermessen des Staatsanwaltes. Auch ein diversionelles Vorgehen ist möglich. Neben den bisher bekannten Strafen, vorbeugenden Maßnahmen, Nebenfolgen, vermögensrechtlichen Anordnungen und der Diversion tritt nun die Verbandsgeldbuße als eine weitere Spur sui generis des Kriminalrechts.
